Terms of Service

These Terms of Service ("Terms") govern your use of the EZBunny platform, operated by Easy Synergy Corp ("we," "us," or "our"). By accessing or using ezbunny.com and app.ezbunny.com (the "Service"), you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

EZBunny provides online HIPAA awareness training, compliance tracking, and certificate generation for healthcare organizations and individuals. The Service includes interactive training modules, a compliance dashboard, automated training reminders, and verifiable completion certificates.

3. Account Terms

• Accounts are created and accessed via magic link authentication sent to your email address. We do not use passwords.
• You are responsible for maintaining access to the email address associated with your account.
• One account per email address. Sharing account credentials or magic links with others is prohibited.
• You are responsible for all activity that occurs under your account.

4. Pricing and Payment

• The Service is offered at a flat rate of $99 per year for up to 50 team members.
• All features are included at the base price. There are no per-seat fees and no per-certificate fees.
• Payment is processed by Stripe. By subscribing, you agree to Stripe's Terms of Service.
• Subscriptions automatically renew annually unless cancelled before the renewal date.
• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. HIPAA Training Disclaimer

This section is important. Please read it carefully.

• EZBunny training is provided for educational and awareness purposes only.
• Completion certificates demonstrate that a user has participated in training. They do not certify, guarantee, or constitute proof of regulatory compliance with HIPAA or any other law.
• EZBunny does not collect, store, or process Protected Health Information (PHI). The Service is a training platform, not a HIPAA-compliant system for handling patient data.
• Organizations are solely responsible for implementing their own HIPAA compliance programs, including policies, procedures, risk assessments, and technical safeguards.
• Training content provided through EZBunny does not constitute legal, medical, or professional compliance advice.
• Users and organizations should consult qualified compliance professionals, legal counsel, or regulatory experts for guidance specific to their circumstances and obligations.

6. Acceptable Use

You agree not to:

• Share your account or magic link authentication emails with others.
• Use automated tools, bots, or scripts to access the Service.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service in any way that violates applicable laws or regulations.
• Interfere with or disrupt the Service or its infrastructure.
• Misrepresent your identity or organizational affiliation.

7. Intellectual Property

All training content, materials, software, and branding are owned by Easy Synergy Corp or its licensors and are protected by copyright and other intellectual property laws.

Completion certificates are licensed for display and verification purposes. You may share certificates with employers, auditors, and regulatory bodies. You may not alter, forge, or misrepresent certificates.

8. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific compliance requirements, that training content covers all applicable regulations for your organization, or that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, our total liability for any claims arising out of or related to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, regulatory fines or penalties, or costs of procuring substitute services.

9. Indemnification

You agree to indemnify and hold harmless Easy Synergy Corp, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Any claim that your use of the Service resulted in regulatory non-compliance, provided that such non-compliance was not directly caused by a material defect in the Service.

10. Termination

Either party may terminate the relationship at any time. You may cancel your subscription from your account settings. We may suspend or terminate your account if you violate these Terms.

Upon termination, your access to the Service will end. You may request deletion of your personal data as described in our Privacy Policy. Certificates issued prior to termination remain valid and verifiable.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (if you have an account) or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
